Terms of Service

These Terms of Service ("Terms") govern your use of Strata ("Software"), provided by Tailormade LLC ("Company," "we," "us," or "our"). By downloading, installing, or using the Software, you agree to be bound by these Terms.

1. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for personal, non-commercial purposes. You may not:

• Copy, modify, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove any proprietary notices or labels
• Use the Software for any unlawful purpose
• Sublicense, rent, or lease the Software to third parties

2. Third-Party Services

The Software connects to Kalshi, Inc. ("Kalshi") using their API. Strata is not affiliated with, endorsed by, or sponsored by Kalshi. Your use of Kalshi's services is governed by Kalshi's own terms of service and member agreement. We are not responsible for:

• The availability, accuracy, or reliability of Kalshi's services
• Any changes to Kalshi's API, fees, or terms
• Orders executed or not executed through Kalshi
• Any losses arising from your use of Kalshi's platform

3. No Financial Advice

THE SOFTWARE IS A TRADING TOOL, NOT A FINANCIAL ADVISOR. We do not provide investment advice, trading recommendations, or personalized financial guidance. Any market data, prices, or information displayed in the Software is for informational purposes only and should not be construed as a recommendation to buy, sell, or hold any position.

We are not registered as an investment adviser with the U.S. Securities and Exchange Commission or any state securities regulatory authority.

4. Trading Risks

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.

TRADING PREDICTION MARKET CONTRACTS INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS. You should carefully consider whether trading is appropriate for you in light of your financial condition. You could lose some or all of your invested capital.

Specific risks include but are not limited to:

• Market Risk: Prediction market prices can move rapidly and unpredictably. Past performance does not guarantee future results.
• Liquidity Risk: Some markets may have limited liquidity, making it difficult to enter or exit positions at desired prices.
• Execution Risk: Orders may not execute at the expected price due to market movement, network delays, or system issues.
• Software Risk: The Software may contain bugs, errors, or defects that could result in unintended order placement, failed order cancellation, or incorrect display of market data.
• Connectivity Risk: Internet connection failures, API outages, or server downtime may prevent order submission or cancellation.
• Regulatory Risk: Prediction markets are subject to evolving regulations that may affect your ability to trade.

YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR ANY TRADING DECISIONS AND THEIR OUTCOMES. THE COMPANY IS NOT RESPONSIBLE FOR ANY LOSSES YOU MAY INCUR.

5. User Responsibilities

You are responsible for:

• Maintaining the security of your Kalshi API credentials
• All activity that occurs using your credentials through the Software
• Complying with all applicable laws, regulations, and Kalshi's terms of service
• Ensuring you are legally permitted to trade prediction markets in your jurisdiction
• Verifying all orders before submission
• Monitoring your positions and account status

You agree not to use the Software for market manipulation, wash trading, or any activity that violates applicable laws or exchange rules.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF TITLE AND NON-INFRINGEMENT
• WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SOFTWARE

WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAILORMADE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• TRADING LOSSES OR MISSED TRADING OPPORTUNITIES
• DAMAGES ARISING FROM SYSTEM FAILURES, BUGS, OR ERRORS
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR CREDENTIALS

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless Tailormade LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your trading activities

9. Updates and Modifications

We may update the Software or these Terms at any time. Continued use of the Software after changes constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.

10. Termination

We may terminate or suspend your access to the Software at any time, for any reason, without notice. Upon termination, your license to use the Software is immediately revoked.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms constitute the entire agreement between you and Tailormade LLC regarding the Software and supersede all prior agreements and understandings.
